These Terms & Conditions (“Terms”) govern your access to and use of the Momentum ZH website and the provision of services by OP GROUP GmbH, operating under the brand Momentum ZH (“Momentum”, “we”, “us” or “our”).

By accessing our website or engaging Momentum for services, you agree to these Terms. If you do not agree with these Terms, please do not use our website or services.
1. Our Services
Momentum is a business growth and digital marketing partner providing services including, but not limited to:
Business strategy and growth advisory
Branding and brand strategy
Digital marketing
Social media management
Campaign strategy and management
SEO and organic visibility
Content strategy and creation
Marketing performance optimisation
AI strategy and AI-assisted marketing solutions
Purpose and impact strategy
Strategic advisory and ongoing business support
The exact scope of services, deliverables, timelines, fees and responsibilities will be agreed separately with each client, normally through a proposal, statement of work, service agreement, order confirmation or other written agreement (“Service Agreement”).
If there is a conflict between these Terms and a specific written Service Agreement, the Service Agreement will prevail for the relevant services.
2. Website Use
You may use this website for lawful purposes only.
You agree not to:
use the website in violation of applicable laws or regulations;
attempt to gain unauthorised access to the website or its systems;
interfere with the security or operation of the website;
copy, reproduce or distribute website content without permission;
use automated systems to scrape or extract substantial amounts of website content without our prior written consent; or
use our content, branding or intellectual property in a way that may mislead others about your relationship with Momentum.
We reserve the right to restrict or terminate access to the website where reasonably necessary.
3. Business Enquiries and Consultations
Submitting an enquiry through our website, booking a consultation or contacting us does not automatically create a client relationship or obligation for Momentum to provide services.
Initial consultations may be provided free of charge where expressly stated.
Any paid services will be subject to a separate agreement confirming the applicable scope, fees and commercial terms.
4. Client Engagements
Once a Service Agreement has been accepted by both parties, Momentum will provide the agreed services according to the applicable scope.
Our services may include strategy, advisory, creative work, content, campaigns, social media management, SEO, analytics, optimisation and other activities agreed with the client.
We may use employees, freelancers, contractors, specialist partners and other service providers where reasonably required to deliver the agreed services.
5. Fees and Payment
Fees will be specified in the applicable Service Agreement, proposal or invoice.
Unless otherwise agreed:
fees are payable in Swiss francs (CHF);
invoices are payable within the payment period stated on the invoice;
third-party costs, advertising spend, media spend, software subscriptions, production costs, travel expenses and other external costs are not included unless expressly stated;
advertising spend is managed and charged separately where applicable.
Late payments may result in the suspension of services until outstanding amounts have been paid.
Momentum reserves the right to charge reasonable costs arising from late payment to the extent permitted by applicable law.
6. Monthly Growth Partnership
Where a client subscribes to Momentum’s Growth Partnership or another ongoing monthly service, the applicable monthly fee and included services will be set out in the relevant Service Agreement.
The website currently advertises the Growth Partnership from CHF 6,000 per month. This published starting price is indicative and does not constitute a binding offer for any particular client or scope of work.
The actual fee may vary depending on the services, scope, resources and requirements agreed with the client.
Where a monthly service is advertised as having flexible cancellation or pause options, the applicable Service Agreement will specify the operational details of the cancellation or pause, including any notice requirements, outstanding fees and work already commissioned.
7. Client Responsibilities
Clients are responsible for providing accurate, complete and timely information, materials, access credentials, approvals and feedback reasonably required for Momentum to perform the services.
Delays caused by a client's failure to provide required information, approvals, access or materials may affect delivery timelines.
The client remains responsible for ensuring that materials supplied to Momentum do not infringe the rights of third parties or violate applicable laws.
8. Marketing Results and No Guarantee
Momentum works to improve business growth, marketing performance, visibility and other agreed objectives.
However, marketing, advertising, SEO, social media, branding and business strategy involve external factors beyond our control.
Accordingly, unless expressly guaranteed in a written Service Agreement, Momentum does not guarantee:
a specific level of revenue;
a specific number of leads or customers;
specific advertising results;
specific search engine rankings;
specific social media reach or engagement;
specific conversion rates;
specific return on advertising spend;
a particular business valuation or commercial outcome; or
any other specific financial or business result.
Any examples, case studies, statistics or performance indicators presented on our website are illustrative and should not be interpreted as a guarantee of future results.
9. Advertising and Third-Party Platforms
Marketing campaigns may rely on third-party platforms, including advertising networks, social media platforms, search engines, analytics services and other technology providers.
Momentum does not control the policies, algorithms, availability, pricing, functionality or performance of third-party platforms.
Changes, suspensions, restrictions, outages or decisions by third-party platforms may affect campaign performance or delivery.
Advertising spend is separate from Momentum's service fees unless expressly agreed otherwise.
10. Artificial Intelligence
Momentum may use artificial intelligence (“AI”) and AI-assisted technologies to support research, analysis, ideation, content development, testing, optimisation, automation and other activities.
AI tools are used as part of our working processes and do not replace professional judgement.
As stated on our website, AI may be used to accelerate research, testing and iteration, while strategic decisions and creative outputs remain subject to human review and refinement.
Where client data or confidential information is processed using third-party AI services, Momentum will take reasonable measures to ensure that such processing is consistent with applicable agreements and data protection requirements.
11. Intellectual Property
Unless otherwise agreed in writing:
Momentum retains ownership of its pre-existing intellectual property, methodologies, frameworks, templates, know-how, processes, systems and tools;
the client retains ownership of materials supplied by the client;
final deliverables specifically created for the client may be transferred or licensed to the client according to the applicable Service Agreement and subject to full payment of the relevant fees;
third-party materials remain subject to the applicable third-party licences and terms.
Momentum's methodologies, strategic frameworks, internal processes, templates and know-how do not become the client's exclusive property merely because they are used during a project.
12. Portfolio and Marketing Use
Unless otherwise agreed in writing, Momentum may identify a client as a client and display publicly available work created for that client in its portfolio, website, presentations or marketing materials.
We will not intentionally disclose confidential information for marketing purposes.
A client may request that particular confidential materials or work be excluded from public portfolio use.
13. Confidentiality
Each party agrees to keep confidential information received from the other party confidential and to use it only for purposes connected with the relevant business relationship.
Confidential information does not include information that:
is publicly available without breach of these Terms;
was already lawfully known to the receiving party;
is independently developed without using confidential information; or
must be disclosed by law or a competent authority.
These confidentiality obligations survive termination of the relevant engagement for as long as the information remains confidential.
14. Third-Party Services
Momentum may use third-party software, platforms and service providers to provide or support its services.
Examples may include project management tools, analytics platforms, advertising platforms, social media platforms, scheduling tools, hosting providers, AI tools and communication systems.
The availability and functionality of such services may be subject to third-party terms.
Momentum is not responsible for failures caused solely by third-party services outside our reasonable control.
15. Website Content
We make reasonable efforts to keep the information on this website accurate and up to date.
However, website content is provided for general informational purposes and may change without notice.
We do not guarantee that the website will always be complete, accurate, uninterrupted, secure or error-free.
16. Links to Third-Party Websites
Our website may contain links to third-party websites.
Such links are provided for convenience and do not constitute an endorsement or guarantee of the linked website, its content, security or services.
Your use of third-party websites is subject to their own terms and privacy policies.
17. Limitation of Liability
To the extent permitted by applicable law, Momentum shall not be liable for indirect, incidental, consequential or special damages, including loss of profits, loss of revenue, loss of business opportunities, loss of data or reputational damage.
Momentum shall not be liable for losses caused by circumstances outside its reasonable control, including failures of third-party platforms, hosting providers, advertising networks, social media platforms, search engines or other external systems.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under applicable law.
18. Force Majeure
Momentum shall not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, cyber incidents, infrastructure failures, widespread technical outages, governmental measures, strikes, war, civil unrest or failures of third-party providers.
19. Termination
Either party may terminate an ongoing engagement according to the termination provisions contained in the applicable Service Agreement.
Termination does not affect:
fees already earned;
approved or committed third-party expenses;
work already performed;
outstanding payment obligations; or
provisions that by their nature are intended to survive termination.
20. Changes to These Terms
Momentum may update these Terms from time to time.
The updated version will be published on this website with a revised “Last updated” date.
Changes to these website Terms do not automatically amend the terms of an existing individual Service Agreement unless expressly agreed or required by law.
21. Applicable Law
These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules.
To the extent permitted by applicable law, the courts of Zürich, Switzerland shall have jurisdiction over disputes arising from or relating to these Terms.
Mandatory statutory rights and jurisdictions remain unaffected.
22. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will remain in full force and effect.
The invalid provision shall be replaced or interpreted in a manner that most closely reflects its intended commercial purpose while complying with applicable law.
